This session will cover the QSBS election and outline the circumstances when it can be appropriate. The implications are particularly relevant for those advising or investing in C corporations (as founders, angels, and/or venture capitalists) or those considering converting to a C corporation prior to transaction.

The election to treat stock as Qualified Small Business Stock (QSBS) under IRC §1202 can help an individual or a family shield significantly more gain from capital gains taxes upon sale as the result of legislation passed following the financial crisis. The enhanced tax benefits of the election are sometimes overlooked and often misunderstood.
